1. The Oil supplied is not to be resold unless Contracted so to do.
2. Notwithstanding the terms of payment agreed credit is granted only on condition that payments are made promptly on due date. In default of this the Seller may require, and the Buyer shall pay, cash on or before delivery.
3. The weight of the oil as determined by the Seller be accepted by the Buyer.
4. The Seller to be given reasonable time in which to effect delivery against the Buyerʼs instructions.
5. ROAD TANK WAGONS. The Buyer undertakes to provide facilities that are safe in all respects for the passage of the Sellerʼs road tank vehicles and further, the Buyer will ensure that adequate and suitable storage space is available to receive all the oil at the time of delivery, without risk to the property or the servants of both the Buyer and the Seller or to third parties.
6. Any duty imposed and any increases in such duty to be for Buyerʼs Account. CLAIMS. In the event of alleged defect in quality or quantity in any delivery made, notice shall be given to the Seller within three days of delivery of the oil. Failure to notify the Seller within three days will relieve the Seller of all responsibility.
7. Any dispute in respect of the delivery, in accordance with the provisions of the Arbitration Act of 1950 (as amended), be settled in Exeter by appointing two Arbitrators, one to be chosen by each party hereto with power to call in an umpire, whose decision is to be final.
8. (a) The Seller shall not be responsible for any consequences arising from Act of God, lock-outs, strikes (including those of the Sellerʼs own employees), war, riots, civil commotions, fire, or like causes, or from disturbances or from any causes whatsoever beyond the control of the Seller which affect the performance of the delivery (including delays in delivery to the Seller or other failure of the Sellerʼs existing or contemplated source of supply).
(b) In the event of any regulation, discretion or order issued by Her Majestyʼs Government or other authority on whose instructions the Seller is required to act, the Seller shall not be responsible for any loss or damage sustained by the Buyer.
(c) In the event of the Seller for any reason being delayed or hindered in or prevented from delivering the full quantity of oil, the Seller shall be at liberty to withhold, reduce or suspend deliveries hereunder to such extent as the Seller may in its absolute discretion think fit.
9. RESERVATION IN TITLE. Title in these goods does not pass until payment is made and all effects are cleared.
